What the pricing announcement establishes
In its October 8 release, TRexBio said all offered shares are being sold by the company. It expected trading on the Nasdaq Global Select Market to begin October 9 under the symbol TRXB, and completion on October 13, subject to customary conditions.
The issuer also granted underwriters a 30-day option to purchase up to 1,250,000 additional shares. That option is not a statement that those shares have already been purchased. The announced base proceeds should not be silently enlarged to include a possible exercise.
Gross proceeds are not cash after costs
The US$116.7 million figure is before underwriting discounts, commissions and offering expenses. It should not be described as net funds available to spend. A gross figure and a net figure answer different questions about the same transaction.
