Strive priced a $630 million offering of a new preferred-share series on October 15, 2026. The useful distinction for investors is between the headline fundraising amount, the cash left after costs and the conditional dividend terms—not simply the advertised 15% rate.
The issuer announcement scheduled settlement for October 20, subject to closing conditions. This is an initial offering of SATS preferred stock, not the first flotation of Strive’s already-listed common shares.

Why $630 million is not the cash available to deploy
The calculation is 7 million shares × $90 = $630 million gross. Underwriting discounts total $21 million, leaving $609 million before other expenses. The final prospectus then estimates $608.15 million net. None of those figures establishes that the proceeds have already been received or invested.
A dividend rate is not a guaranteed return
The 15% annual accumulation rate applies to the $100 stated amount: $15 per share annually. Cash payment requires a board declaration and legally available funds. Scheduled business-day payments begin November 9, subject to those conditions. The rate is not a promise of investment performance or protection against a falling share price.
What to watch next is confirmation of settlement and Nasdaq approval. The checked prospectus says no public SATS market yet existed; this report does not claim trading has started.
