VRL Logistics has moved the record date for its share buyback from 16 October to 22 October 2026. Investors using the earlier date need to update their eligibility calendar; the revised date does not mean the tender offer has opened or finished.

The company’s 15 October exchange filing says its Buyback Committee revised the date for determining entitled shareholders. NSE’s announcement record and BSE’s corporate-action table confirm 22 October. The substantive update is the changed eligibility date, not a new buyback price.

Primary records checked on 16 October 2026; the exact observation time is recorded below. Scheduled events are not confirmation of completion.

What the ₹320 price means

The earlier public announcement describes a proportionate tender-offer buyback of up to 87,50,000 fully paid-up equity shares at ₹320 each, with a ₹10 face value. Multiplying the share cap by the buyback price gives maximum consideration of ₹280 crore, excluding transaction costs. This is a company offer, not a quoted market price.

In a tender offer, eligible holders offer shares to the company under the prescribed process. Being on the eligible-holder record is distinct from how many submitted shares are ultimately accepted. Investors should not treat ₹320 as a guaranteed exit for their entire holding or infer a return without checking the full terms and their own circumstances.

A record date is not a settlement date

The revised notice changes the date used to identify eligible holders and their entitlement. It does not itself give a new tender-opening, closing or payment timetable. This report therefore leaves those dates unverified instead of calculating them from the record date. BSE separately lists an ex-date of 22 October; investors should check the current exchange and intermediary instructions before acting.

The public announcement reports shareholder approval communicated on 6 October, followed by an announcement dated 7 October and newspaper publication on 8 October. Approval, eligibility, tendering, acceptance and payment are separate steps. No completed buyback, acceptance ratio, tax outcome or assured gain is claimed here.

A buyback also differs from a split: CapKet’s Bansal Wire explainer describes a change in share denomination, not cash paid for surrendered shares.
