Arcus Biosciences completed its public share offering on 23 October 2026 and received approximately US$269.7 million in net proceeds, according to its SEC 8-K filed that day. The closing included the full exercise of the underwriters’ option, making the final share count larger than the initial base offering.

Why the final proceeds differ from the first headline
The original firm-share amount multiplied by US$17.50 is approximately US$250 million before costs. Including the full option, 16,428,572 shares multiplied by US$17.50 equals approximately US$287.5 million in gross sale value. This is a calculation from the disclosed final share count and price, not the net cash received by Arcus.
The filing separately reports approximately US$269.7 million in net proceeds after the stated deductions. Gross sale value and net financing proceeds should not be compared as if they were the same measure. Neither is revenue from selling medicines, a profit figure or a valuation of the company.
What existing shareholders should distinguish
The company issued new shares rather than reporting a sale solely by existing holders. New issuance increases the number of shares outstanding and can reduce an existing investor’s percentage ownership if that investor does not acquire additional shares. No percentage dilution is calculated here without a verified comparable pre-offering share count.
The 21 October underwriting agreement allowed an option for up to 2,142,857 additional shares. The later 8-K confirms that it was exercised in full and that the sale closed. The earlier expected closing date is therefore no longer the only available evidence.
The reviewed closing filing does not itself provide a detailed allocation of these net proceeds. No specific programme spend, clinical outcome or investment return is inferred from the financing.
