Meta announced approximately US$35 billion of concurrent public offerings on 26 October 2026 and outlined a separate plan for an approximately US$60 billion at-the-market programme. The two amounts describe different financing steps. They do not establish that Meta has already received US$95 billion.
What is being offered now
The concurrent offerings comprise approximately US$22.5 billion of Class A common shares linked to forward sale agreements and approximately US$12.5 billion of depositary shares representing mandatory convertible preferred stock. A depositary share gives its holder a fractional interest in the preferred stock; it is not the same security as an ordinary common share.
| Financing step | Announced amount | What the source establishes | Primary evidence |
|---|---|---|---|
| Common-share offering | Approximately US$22.5 billion | Linked to forward sale agreements; no initial proceeds expected from the forward purchasers’ share sales. | Meta release: Financing Plan and Details of the Offerings |
| Depositary-share offering | Approximately US$12.5 billion | Represents mandatory convertible preferred stock; dividend rate and conversion terms to be set at pricing. | Meta release: Details of the Offerings |
| Separate ATM plan | Approximately US$60 billion | Not an established programme or completed sale; commencement is not expected before Q1 2027, subject to Class C trading and other conditions. | Meta release: Financing Plan and ATM terms |
| Cornerstone indications | Up to US$5 billion in aggregate | NVIDIA, AMD and Broadcom expressed non-binding interest; this is not an additional committed financing amount. | Meta release: Cornerstone Investors |
Why a forward sale is not cash received today
Meta says it does not expect initially to receive proceeds from the common shares sold by the forward purchasers or their affiliates. It expects proceeds when the forward agreements are settled in the future, subject to their terms. The release describes settlement on one or more dates on or before 19 November 2027. That is different from treating the announced common-share amount as cash already on Meta’s balance sheet.
The simple arithmetic is US$22.5 billion plus US$12.5 billion equals approximately US$35 billion. Adding the separate US$60 billion plan produces a headline total of US$95 billion, but does not turn a future programme into completed fundraising. Underwriter options may also affect eventual amounts; the table is not a final gross or net proceeds calculation.
The conditions still to be resolved
An at-the-market programme allows shares to be sold over time rather than through one completed sale. Meta says it has not entered into an agreement for the planned programme and gives no assurance that it will establish it or sell a particular amount. Pricing, definitive preferred-stock terms, programme establishment and actual settlements are therefore the relevant next disclosures.

The separate SEC-filed preliminary common-stock prospectus supplement dated 26 October 2026, observed at 2026-10-26T17:14:08.052Z (22:44 IST), corroborates the US$22.5 billion forward-share amount, lack of initial proceeds, settlement deadline and non-binding cornerstone indications. It is preliminary, not a final pricing or completed-funding notice.
