City Therapeutics priced an upsized IPO of 11,111,111 new shares at $18 each on 15 October 2026, according to its issuer announcement. The useful financing question is not just the approximately $200 million headline: its final SEC-filed prospectus estimates $181.5 million of net proceeds after underwriting discounts, commissions and estimated offering expenses.

Why gross and net differ
Multiplying 11,111,111 shares by $18 gives $199,999,998, rounded to approximately $200 million. The prospectus’s $181.5 million net estimate is roughly $18.5 million lower. That gap reflects underwriting and estimated offer costs together; it is not a loss from operating the business and should not all be labelled one commission. Actual net cash can differ from an estimate.
The company intends to use the proceeds alongside existing cash to fund its clinical programmes and platform, with working capital and other general corporate purposes also identified. Planned expenditure is not the same as cash already spent or a completed clinical milestone.
The dates and development risks remain separate
The issuer expected trading to begin on October 16 and the offering to close on October 19, subject to customary conditions. This October 18 article does not infer either event’s completion solely from that timetable. It quotes no debut gain or current market price.
City describes itself as clinical-stage. A stock-market financing does not establish that a medicine is approved, effective or commercially successful. The prospectus risk factors and later primary disclosures remain important to assessing that uncertainty. This is financial reporting, not a clinical assessment or an invitation to subscribe in a jurisdiction where the offering is restricted. More CapKet IPO reporting.
