Silgan plans to combine its metal-container and food-and-beverage flat-cap businesses with Trivium through a partnership with American Industrial Partners. The proposed all-cash acquisition values Trivium at approximately $3.4 billion on an enterprise-value basis.

The October 19 official transaction announcement filed with the SEC says Silgan would retain 60% of the partnership, called Silgan Metal Containers and Closures. Funds affiliated with AIP would own the remaining 40%.

The transaction has several different financial measures

Term Disclosed position Primary source
Trivium enterprise value Approximately $3.4 billion Official announcement
Partnership ownership Silgan 60%; AIP 40% Official announcement
Cash proceeds to Silgan Approximately $2.3 billion, intended to retire certain debt Official announcement
AIP cash equity contribution Approximately $1.0 billion Official announcement
Closing target Mid-2027; required approvals and other conditions Official announcement

Enterprise value measures a business independently of how its ownership and financing are divided. Cash proceeds are money received in a transaction. An equity contribution funds an ownership stake. These figures answer different questions and should not be added together as though they were one purchase price.

Synergies are targets, not money already earned

Silgan expects $225 million of annual synergies by the end of year three, with $75 million in year one and $150 million in year two. Its forecast of at least 15% adjusted EPS accretion includes expected full run-rate synergies.

Synergies mean anticipated benefits from bringing operations together, such as cost reductions. Adjusted EPS is an issuer-defined non-GAAP per-share measure. Neither the synergy target nor the EPS forecast is a reported result for the combined business.

The announcement targets closing in mid-2027, subject to regulatory approvals, applicable works-council consultation and customary conditions. Financing commitments do not remove those requirements.
