Saturn Oil & Gas has agreed to acquire privately held Corex Resources for approximately C$302 million in cash and shares. The October 19 agreement would extend the Canadian producer’s operating footprint into southwest Manitoba alongside its southeast Saskatchewan core area.
Saturn’s official announcement specifies approximately C$252 million in cash and Saturn shares valued at C$50 million. It expects closing in December 2026, subject to customary conditions; this is not a completed acquisition.
Price and funding
| Term | Disclosed position | Primary source |
|---|---|---|
| Total consideration | Approximately C$302 million | Official announcement |
| Cash / shares | Approximately C$252 million / C$50 million deemed share value | Official announcement |
| Cash funding | Cash on hand and a draw on Saturn’s credit facility | Official announcement |
| Closing requirements | Court, regulatory and stock-exchange approvals and other conditions | Official announcement |
Cash plus shares is not the same as an all-cash offer. The share component gives sellers continuing exposure to the buyer, while borrowing to finance cash consideration adds a financing obligation. Neither component is revenue from producing oil.
Read the production numbers as forecasts
Saturn describes approximately 7,000 barrels a day of oil-weighted production associated with the acquisition. Its notes tie this figure to development assumptions, including C$77.8 million of capital invested in the Corex assets over the following 12 months. It should not be presented as a separately verified current production reading.
The issuer forecasts C$192 million of run-rate net operating income using October 13, 2026 strip pricing for November 2026–November 2027. Strip pricing refers to a series of futures prices used as an assumption. This is neither realised selling prices nor a reported net-profit result.
Oil-price changes, spending, operating costs and completion timing can change the outcome. Net operating income also differs from net profit, which includes a broader range of expenses. Readers should check later reported operating results rather than assume the transaction announcement has delivered the forecast.
For a separate producer’s disclosed output figures and their period definitions, see CapKet’s Rio Tinto production report.
Corex’s own announcement distributed through CNW confirms C$302 million of consideration and the court, regulatory and TSX conditions. It is explicitly attributed to Corex Resources Ltd., an interested party to the deal, not independent outside corroboration. Second record checked: .
