RBB Bancorp reported third-quarter net income of $12.6 million, or $0.74 per diluted share, compared with $10.1 million and $0.59 in the previous quarter. The result includes a $2.7 million gain from selling an office building in Brooklyn, New York.
The US company, parent of Royal Business Bank, is not India’s RBL Bank. Its October 19 release also declared a quarterly dividend of $0.16 per common share, with payment scheduled for November 12.
The accompanying Form 8-K, Item 2.02, identifies the October 19, 2026 earnings announcement and furnishes the release as Exhibit 99.1. The cover report and release belong to the same issuer announcement; they are not independent corroboration or a separate audited financial statement.
Why the property gain matters
| Measure | Verified position | Official source |
|---|---|---|
| Reporting period | Quarter ended September 30, 2026 | Issuer release |
| Net income / diluted EPS | $12.6 million / $0.74 | Issuer release |
| Previous-quarter net income / diluted EPS | $10.1 million / $0.59 | Issuer release |
| Building-sale gain included | $2.7 million; Brooklyn office building | Issuer release |
| Net interest margin | 3.16%; 3.06% in Q2 2026 | Issuer release |
A property-sale gain is included in reported income, but it is not the same as interest earned from lending or a recurring banking fee. The result should not be presented as though every part of the profit increase came from the core loan business.
Nor should readers simply subtract $2.7 million from net income and call the answer adjusted profit. That would ignore the tax treatment and any other adjustments; this report does not calculate an unsupported after-tax earnings figure.
Net interest margin improved to 3.16% from 3.06% in the second quarter. Margin describes the interest spread relative to earning assets, while the property gain sits elsewhere in the income statement. Those sources of earnings need separate labels.
Declared dividend: dates and conditions
| Measure | Verified position | Official source |
|---|---|---|
| Action and amount | Board-declared quarterly cash dividend of $0.16 per common share | Issuer release |
| Approval status | Declared by the board in the October 19, 2026 release | Issuer release |
| Record date / eligibility | Common shareholders of record October 30, 2026 | Issuer release |
| Scheduled payment | November 12, 2026; not completed at observation time | Issuer release |
| Ex-dividend date | Not specified in this release; not independently verified | Issuer release |
| Per-share basis | $0.16 for each eligible common share; no assured return | Issuer release |
The record date and payment date perform different roles. The former determines the recorded shareholders for the distribution; the latter is the scheduled cash payment. The release does not state an ex-dividend date, so none is invented here.
This is a cash dividend on common shares, not a bonus issue or split. The declaration does not establish a guaranteed return. The useful follow-up is whether subsequent banking income remains strong without another building sale, and whether the scheduled distribution is paid as announced.
