What shareholders would receive

The announced terms provide C$0.084 in cash and 0.0763 Quantum eMotion shares for each Plurilock share. The transaction requires shareholder, court and other approvals. The parties expect a November meeting, but that expectation is not a completed vote or guaranteed closing date.

Why an implied value is not fixed cash

CapKet analysis: A mixed offer has two moving parts. The stated cash amount is one component; the market value of the shares is another. A reader comparing the offer with a holding’s value needs to use the actual exchange ratio, rather than treating an announcement valuation as a guaranteed cash receipt.

Completion is a separate question from price. Even an attractive-looking comparison does not establish that all conditions will be met. The shareholder circular is the document to examine for detailed procedures, treatment of different securities and remaining conditions when it becomes available.

The business case still needs execution

Combining products and customer relationships on paper does not itself demonstrate a successful integration. A useful follow-up would examine customer retention, implementation milestones and reported financial results after any closing. These are questions for later evidence, not forecasts that the proposed combination will succeed or fail.
