Proofpoint agreed on October 15, 2026, to acquire Varonis in an all-cash transaction valued at approximately $6.3 billion. For Varonis shareholders, the central point is timing: the proposed $49.75-a-share consideration is conditional merger proceeds, not cash already payable.
The companies’ announcement expects completion in the first half of 2027. Until closing, the businesses say they will continue operating separately. The agreement therefore must not be reported as a completed takeover.

Why a signed agreement is not a completed cash exit
Varonis’s SEC-filed transaction summary says its board unanimously approved the agreement and recommended that shareholders approve it. Board approval and a shareholder vote are different steps. Regulatory clearance also remains separate from both.
The buyer’s obligation is not subject to a financing condition, according to that filing. This removes one stated contractual condition; it does not cancel the remaining approvals or guarantee that the transaction will close. Cash consideration is linked to the merger becoming effective and to the agreement’s treatment of the relevant shares.
What investors should watch
The next substantive evidence would be the shareholder meeting materials and voting outcome, regulatory decisions and an actual closing announcement. Those records—not the expected timetable alone—would establish progress toward completion.
This report does not calculate a takeover spread or investment return: no current Varonis trading price was verified for that purpose. It also does not treat the companies’ proposed combined security capabilities as already delivered products or proven financial gains.
