Merck KGaA, Darmstadt, Germany has agreed to acquire Silence Therapeutics in an all-cash transaction valuing the biotechnology company’s equity at approximately $1.3 billion. The agreement announced on October 19 offers $20 for each American Depositary Share, or ADS.
Silence’s official SEC-filed announcement gives a separate enterprise value of $1.1 billion. Merck KGaA is the German science and technology group, not the US company commonly known as Merck or MSD.
What an ADS holder is being offered
| Term | Disclosed position | Primary source |
|---|---|---|
| Equity value | Approximately $1.3 billion | Official announcement |
| Enterprise value | $1.1 billion | Official announcement |
| Cash consideration | $20 per ADS; each ADS represents three ordinary shares | Official announcement |
| Ordinary-share equivalent | $6.6667 per share, as disclosed | Official announcement |
| Expected closing | First quarter of 2027; approvals and conditions outstanding | Official announcement |
An ADS is a depositary security representing underlying ordinary shares. Here, dividing $20 by three gives approximately $6.6667 per ordinary share. Applying the $20 figure to one ordinary share would overstate the offer by a factor of three.
Equity value describes the value assigned to shareholders’ ownership. Enterprise value is a different business-valuation measure that reflects financing and balance-sheet adjustments. The two disclosed totals are not competing prices to be added together.
Approvals and development risks remain
The transaction is structured as a UK scheme of arrangement. It requires shareholder approval, sanction by the High Court of Justice of England and Wales, regulatory approvals and other customary conditions. The expected closing quarter is a target, not evidence of completion.
Silence describes itself as a clinical-stage company developing gene-silencing medicines. An acquisition agreement does not establish approval, commercial success or clinical effectiveness for a medicine. Those questions remain separate from the shareholder offer.
