Maximus has agreed to acquire Agile Defense and certain affiliates for $660 million in cash, subject to adjustments. Additional consideration may become payable if specified performance objectives are achieved, so the initial cash price is not necessarily the maximum eventual cost.

The October 19 official Maximus release says the acquisition is subject to regulatory approvals and customary closing conditions. The company expects completion in the first quarter of its 2027 fiscal year. That fiscal label should not be silently rewritten as calendar January–March 2027.

What the agreement covers

Term Disclosed position Primary source
Target Agile Defense, LLC and certain affiliates Official announcement
Cash purchase price $660 million payable at closing; subject to adjustments Official announcement
Additional consideration Potential performance-linked payments; amount not specified in the release Official announcement
Expected completion First quarter of Maximus’ 2027 fiscal year Official announcement
Transaction status Signed agreement; regulatory and other conditions remain Official announcement

Contingent consideration is a payment that depends on later conditions. It differs from cash that is already due unconditionally at closing. Without a disclosed amount or range, assigning an extra payment would invent a deal term.

Technology-services rationale

Agile Defense brings cybersecurity, digital transformation, data analytics and AI capabilities. Maximus says the acquisition would expand its defense and national-security services business, including the capabilities of Agile Labs.

The target has approximately 1,100 cleared personnel, according to the issuer. A headcount or a list of technical capabilities is not evidence of a new government contract award, guaranteed revenue or a completed delivery. The acquisition agreement and the target’s customer contracts are different records.

Completion and integration remain the immediate milestones. The announcement’s strategic benefits are management expectations; this report does not convert them into an earnings forecast or assume a stock-market reaction.

For another proposed acquisition centred on technology capabilities rather than a reported earnings result, see CapKet’s Bowman–Dymaptic report.

The Maximus corporate-newsroom version also states the US$660 million cash price, potential contingent payment and fiscal-quarter closing target. It reproduces the same issuer announcement as the investor-relations release, not independent corroboration. Second record checked: .
