Fifth Third Bancorp reported $828 million of third-quarter income available to common shareholders, compared with $608 million a year earlier. Yet reported diluted earnings per share were $0.90, slightly below the year-earlier $0.91.
That contrast matters: a bigger total profit does not automatically mean more earnings for each share. The October 19 release also reflects the combined business following the addition of Comerica, so headline growth is not a clean measure of organic expansion.
The accompanying Form 8-K, Item 2.02, identifies the October 19, 2026 earnings announcement and furnishes the release as Exhibit 99.1. The cover report and release belong to the same issuer announcement; they are not independent corroboration or a separate audited financial statement.
Reported and adjusted EPS answer different questions
| Measure | Verified position | Official source |
|---|---|---|
| Reporting period | Quarter ended September 30, 2026 | Issuer release |
| Income available to common shareholders | $828 million; $608 million in Q3 2025 | Issuer release |
| GAAP diluted EPS | $0.90; $0.91 in Q3 2025 | Issuer release |
| Adjusted diluted EPS | $1.13; non-GAAP, excluding $0.23 per share of specified items | Issuer release |
| Net interest income | $2.271 billion US GAAP; $2.276 billion FTE | Issuer release |
| Comparability | Current results include Comerica | Issuer release |
The bank presented adjusted diluted EPS of $1.13, excluding $0.23 per share of specified items from the reported result. That is a non-GAAP measure. It should not replace the $0.90 reported figure or be described as extra earnings on top of it.
Diluted EPS allocates common-shareholder earnings across a weighted share count, including applicable dilution. Comparing it with total common income helps reveal why growth in the business’s aggregate earnings can differ from the experience of each share.
Keep the merger comparison visible
Net interest income was $2.271 billion under US GAAP. The bank also reported $2.276 billion on a fully taxable-equivalent basis, or FTE, which adjusts tax-exempt income to a comparable taxable basis. Those two versions should retain their labels.
Fifth Third said the 49% year-on-year rise in FTE net interest income primarily reflected the addition of Comerica. It also reported completing the systems conversion. Neither statement means all merger-related costs or execution risks have ended.
For readers assessing progress, the useful follow-up is how the combined bank’s funding costs, credit performance and integration expenses evolve—not simply whether its totals exceed those of the smaller prior-year business. This report does not independently establish a consensus earnings beat, a valuation or a forecast return.
