Prysmian’s proposed acquisition of Atkore offers $95 in cash per share under the merger agreement. That contractual amount is not a current stock-market quote, and a target closing date is not confirmation that shareholders have been paid.
This is a deal-terms explainer, not a report of a newly completed acquisition. In the official October 7 statement checked for this explainer, Prysmian’s latest Atkore statement still described completion as conditional.
Three milestones, not one
| Milestone | Verified position | Official evidence |
|---|---|---|
| Agreement | Definitive merger agreement; $95 cash per Atkore share | August 3 announcement |
| US antitrust review | HSR waiting period expired September 14 | September 15 statement |
| Shareholder vote and target | Approval October 7; October 19 expected closing still subject to remaining conditions | October 7 statement |
US antitrust clearance addressed one review process. It was not confirmation that all regulatory requirements had been met. The later shareholder vote was another necessary step, but Prysmian’s statement still referred to remaining regulatory clearance and customary conditions.
Why the industrial combination matters
In its original announcement, Prysmian described Atkore’s electrical conduits, cable-management systems and related components as complementary to its cable business. Those are different products within electrical infrastructure, rather than a second name for cable revenue.
Prysmian also presented expected commercial benefits and synergies. Such expectations are not realized savings or revenue already earned. This explainer does not count them as completed financial results.
What still needs confirmation
A definitive completion statement or closing filing is needed before describing the merger as effective. No payment completion, trading halt or delisting has been established in this review. Nor does the agreed cash amount establish an assured trading gain: this report has not verified a current share price or individual investor costs.
