Eni announced an extraordinary dividend of €0.46 per ordinary share and increased its 2026 buyback programme to €3.8 billion in its 23 October third-quarter results. For shareholders, the important detail is that ordinary shares and US-listed ADRs have different payment dates.

The company reported €3.205 billion of quarterly net profit attributable to shareholders. Adjusted net profit was €2.801 billion. Both rose from a year earlier, but they are different measures of the same business—not amounts to add together.

Profit and operating cash are separate

Eni Q3 2026: reported and adjusted figures
Measure Q3 2026 Q3 2025 Exact evidence
Net profit attributable to Eni shareholders €3.205bn €0.803bn Official release
Adjusted net profit attributable to Eni shareholders €2.801bn €1.247bn Official release
Net cash from operations €4.359bn €3.078bn Official release

Adjusted profit excludes items under Eni’s published non-GAAP methodology; reported profit is the accounting result. Operating cash flow tracks cash generated and is not interchangeable with either profit figure. The official release includes the adjustment definitions and reconciliation.

Which dividend date applies?

Extraordinary dividend and buyback: disclosed terms
Item Verified position Exact evidence
Status / per-share basis Board resolved an extraordinary cash dividend of €0.46 per ordinary share Official release
Ex-dividend / record / payment dates 7 / 8 / 9 December 2026 respectively; payment is scheduled, not completed Official release
Eligibility basis Recorded holdings through the intermediary at the end of the 8 December accounting day, under the disclosed Italian rules Official release
ADRs — different timetable Two ordinary shares per ADR: €0.92 per ADR, record date 8 December; payable 8 January 2027, subject to applicable withholding Official release
2026 buyback programme Raised to €3.8bn from €3.4bn; programme size is not completed repurchases Official release

The ordinary-share payment is scheduled for December; this announcement does not mean cash has already reached investors. An ADR represents two shares, which explains the €0.92 gross amount, but its January payment date must not be described as the December ordinary-share date. A dividend does not assure a positive total investment return.

What remains a forecast

Eni lifted its full-year adjusted cash-flow-before-working-capital outlook to €16.5 billion. That is management guidance on the company’s stated commodity and exchange-rate assumptions, not cash already generated. The buyback ceiling likewise describes a programme, not a guarantee of completed purchases or a share-price gain.

The official Q3 results page links the release and related materials. The next useful checks are actual buyback execution, cash conversion and the final distribution timetable—not an assumed market reaction.
